Chapter 1 General Provisions

Article 1: Name of the Association: Guangdong International Education Promotion Association
The English translation is: Guangdong Association for the Promotion of International Education (abbreviated as GAPIE).

Article 2: Nature of the Association:
This association is a provincial-level, industrial, and non-profit social organization voluntarily composed of enterprises or institutions that are legally engaged in international education services, study abroad services, and are related to international education and concerned about the development of international education.

Article 3: The purpose of this association:
We will abide by national laws, regulations, and policies, practice socialist core values, abide by social ethics, and promote the spirit of patriotism. The Association adheres to the overall leadership of the CPC and, in accordance with the provisions of the Constitution of the CPC, establishes CPC organizations to carry out Party activities and provide necessary conditions for the activities of Party organizations. Build a comprehensive service platform for win-win cooperation in the field of international education, serve the government, industry institutions, and society, create a healthy and orderly atmosphere for the development of the industry, promote the standardized operation of industry institutions, promote the steady development of international education in our province, and make positive contributions to national talent cultivation and the construction of an innovative country.

Article 4: The registration management authority of this association is the Guangdong Provincial Department of Civil Affairs, and the business supervisory unit of this association is the Guangdong Provincial Department of Education. This association accepts the supervision, management, and guidance services of registration management authorities, business supervisory units, industry management departments, and other departments within their scope of authority in accordance with the law.

Article 5: The activity area of this association is Guangdong Province.

Article 6: The domicile of this association is Tianhe District, Guangzhou City.

 

Chapter 2 Business Scope


Article 7: The business scope of this association: 1. Organize industry research, publish market information, edit professional publications, conduct industry research, evaluation and argumentation, training, communication, consultation, exhibition and sales services; 2. Under the supervision, guidance or authorization of the business supervisory department and other relevant industry management departments, formulate industry standards and conduct institutional evaluation and assessment; 3. Cooperate with relevant government departments for industry promotion and supervision; 4. Collaborate with relevant government departments to crack down on illegal and irregular activities in the international education market; 5. Safeguard the legitimate rights and interests of member units and provide services to them; 6. Conduct theoretical research and policy research in the field of international education; 7. Conduct business and academic exchange activities with domestic and foreign educational institutions and industry organizations. 8. Matters that require approval in accordance with laws, regulations, and rules can only be carried out after being approved in accordance with the law.


 

Chapter 3 Members

 

Article 8: This association is composed of unit members, who are various legal entities in the industry and related industries.

Article 9: Members applying to join this association must meet the following conditions: 1. Support the articles of association of this association; 2. Willing to join the association; 3. Legally operate and have a certain degree of influence in this industry and related industries; 4. It is necessary to hold a business license and legal certificates issued by relevant government departments.

Article 10: The procedures for membership are: 1. Members submit membership registration forms and relevant certificates and licenses; 2. Approved by the Council or Executive Council through discussion; 3. The membership certificate shall be issued by the board of directors or an institution authorized by the board of directors.

Article 11: Members shall have the following rights: 1. Attend member meetings (or member representative meetings), participate in our activities, and receive services provided by our association; 2. The right to vote, be elected, and vote; 3. Priority in obtaining services from this association; 4. The right to propose proposals, make suggestions, and supervise the work of the association; 5. Voluntary membership and freedom of withdrawal.

Article 12: Members shall fulfill the following obligations: 1. Comply with the articles of association of this association; 2. Implement the resolutions of this association; 3. Pay membership fees according to regulations; 4. Promote the work of the association and safeguard the legitimate rights and interests of the association and the industry; 5. Complete the tasks assigned by the association; 6. Report work to this association, reflect on the situation, and provide relevant information.

Article 13: Standards for Members to Pay Membership Fees: 1. The chairman unit and vice chairman unit shall pay a membership fee of 20000 RMB annually; 2. The executive director unit and the supervisory chairman unit shall pay an annual membership fee of RMB 10000; 3. The governing and supervisory units shall pay an annual membership fee of 8000 RMB; 4. Member units pay a membership fee of 3000 RMB per year.

Article 14: Members who withdraw from the association shall notify the association in writing and return their membership certificates and plaques issued by the association. Those who refuse to return shall be declared invalid by this association. If a member fails to pay the membership fee for one year or fails to participate in our club's activities multiple times, it will be deemed as automatic withdrawal. Upon confirmation by the Council or its authorized agency, the membership of the association will be cancelled.

Article 15: If a member fails to comply with the articles of association of the association, the association will criticize and educate them; If there is a serious violation of these articles of association or serious damage to the reputation of the association, it shall be removed by a vote of the member representative meeting or the council.

 

Chapter 4 Selection and Removal of Organizational Structure and Responsible Person


Article 16: The highest authority of this association is the general assembly, which exercises its powers in accordance with national laws, regulations, and the articles of association of this association. The general meeting is composed of all members, and its proceedings and voting are conducted by secret ballot.


Article 17: The general meeting of members shall exercise the following powers: 1. Determine the business scope and work functions of the association within the scope specified by laws and regulations; 2. Elect or dismiss the President, Executive Vice President, Vice President, Secretary General, Directors, and Supervisors; 3. Review the annual work report and annual financial budget and final settlement plan of the board of directors and supervisors; 4. Review the proposal of the board of directors to remove members; 5. Make resolutions on changes, dissolution, and liquidation of this association; 6. Change or revoke inappropriate decisions of the board of directors; 7. Develop or modify the articles of association (including membership fee standards) and election methods for organizational structures; 8. Decide on termination matters; 9. Decide on other major matters.


Article 18: The membership meeting shall have a term of 5 years. If the term needs to be changed in advance or postponed due to special circumstances, it must be approved by the board of directors and approved by the relevant business guidance department and registration management authority. But the maximum extension of the term change shall not exceed one year. The general meeting of members shall be held at least once a year. If the board of directors deems it necessary or if more than one-fifth of the members propose, an extraordinary general meeting of members may be convened.



Article 19: The general meeting of members must have at least two-thirds of all members present, and its resolutions must be passed by a majority of all members. Major matters such as amending the articles of association and organizational dissolution must be approved by more than two-thirds of the members (or member representatives) present at the meeting. Members may entrust other members to attend the meeting as proxies, and the proxies shall present a power of attorney to exercise their voting rights within the authorized scope. The general meeting of members shall prepare minutes of the decisions on the matters discussed and announce them to the members.


Article 20: The association shall establish a council. The council is composed of the president, executive vice president, vice president, secretary general, executive director, and council members. The council is a permanent body of the general assembly and shall perform its duties in accordance with the resolutions of the general assembly and the provisions of the association's articles of association. The maximum number of directors shall not exceed one-third of the number of members.


Article 21: The powers of the board of directors are: 1. Prepare and convene a general meeting of members to decide on the specific work and business of the association; 2. Implement the resolutions of the general assembly and report work to the general assembly; 3. Draft the annual financial budget plan, final accounts, changes, dissolution, and liquidation plans of the association; 4. Develop a plan to increase or reduce the registered capital of the association; 5. Decide on the establishment of various internal institutions of the association and lead their work; 6. Decide on the admission of new applicants and the punishment of members, and propose the removal of members; 7. Appoint or dismiss the Secretary General, and decide on the main responsible persons of the branch offices of this association; According to the nomination of the Secretary General, appoint or dismiss the Deputy Secretary General and the main responsible persons of the administrative and representative offices of the Association, and decide on their remuneration matters; Elect and dismiss executive directors and vice presidents; 8. Develop the internal management system of the association; 9. Other matters stipulated in the articles of association of this association.


Article 22: The board of directors shall hold at least one meeting every year. The board of directors must have at least two-thirds of its members present before it can be convened, and its resolutions must be passed by a vote of at least two-thirds of all directors before they can take effect. The council meeting should be attended by the legal representative or main person in charge of the governing unit. If a director is unable to attend for any reason, he/she may authorize another person to attend on his/her behalf in writing, and the power of attorney shall specify the authorized matters. The board of directors shall form meeting minutes of the resolutions and announce them to all directors. The council meeting shall be convened and presided over by the president, or may be convened and presided over by the vice president or secretary general entrusted by the president; More than one-third of the directors may propose to convene an interim meeting of the board of directors.


Article 23: The association shall establish an executive council, which shall be responsible to the council. The Executive Council is composed of the President, Executive Vice President, Vice President, Secretary General, and Executive Director. The Executive Council may exercise the powers stipulated in Article 21 of this Constitution during the period when the Council is not in session. The Executive Council shall hold meetings at least once every six months; The executive council must have at least two-thirds of the executive directors present before it can be convened, and its resolutions must be passed by at least two-thirds of the attending executive directors. The executive council meeting should be attended by the legal representative or main person in charge of the executive council unit. If the executive director is unable to attend for any reason, he/she may authorize another person to attend on his/her behalf in writing, and the power of attorney shall specify the authorized matters. The executive council shall keep minutes of the decisions on the matters discussed.


Article 24: The Association shall establish supervisors, who shall be elected from among its members. The responsible person, director, executive director, secretary general, deputy secretary general, and financial personnel of the Association shall not concurrently serve as supervisors. The term of office of the supervisor is consistent with the term of office of the board of directors, and can be renewed upon expiration, but not exceeding two terms.


Article 25: The President, Executive Vice President, Vice President, Secretary General, and Supervisor of this Association must meet the following conditions: 1. Adhere to the Party's line, principles, and policies, comply with national laws and regulations, and have good political quality; 2. Strong organizational and coordination abilities, with significant influence and visibility in the industry; 3. The maximum age of appointment for the President, Executive Vice President, Vice President, and Secretary General shall not exceed 70 years old; 4. The president, executive vice president, and vice president must be the legal representative of the member unit or the authorized main person in charge of the unit, or an individual with high influence or business background in the field; 5. The President and Executive Vice President are fully responsible for the implementation of various tasks formulated by the General Assembly and the Council, as well as the daily operation of the Association; 6. Not subjected to any criminal punishment; Being physically healthy and able to work normally; 7. Possess full civil capacity.

Article 26: The Secretary General of this association shall adopt an appointment system, and the Secretary General and the President shall not be elected within the same enterprise. The President shall not concurrently serve as the Secretary General. The Executive Council has the power to appoint and remove the Secretary General.
Article 27: The association shall have one president, one executive vice president, several vice presidents, one secretary general, and several deputy secretaries. If the president, executive vice president, or vice president of our association exceeds the maximum age for appointment, they must be approved by the council or executive council, reviewed by the competent unit, and approved by the social organization management agency of the Civil Affairs Department before taking office. The President or Executive Vice President of the Association shall be the legal representative of the Association, and the legal representative of the Association shall not concurrently serve as the legal representative of other social organizations.
Article 28: The term of office of the President, Executive Vice President, and Vice President of the Association shall be 5 years, and the President shall not serve more than two consecutive terms.
Article 29: The President of this association shall exercise the following powers: 1. Convene and preside over meetings of the Council and Executive Council; 2. Check the implementation of resolutions of the general assembly, council, and executive council; 3. Represent the association to sign relevant important documents and participate in relevant important activities; 4. Nominate candidates for Secretary General and Deputy Secretary General; 5. Handle other important matters of the association.


Article 30: The Executive Vice President, Vice President, and Secretary General of the Association shall carry out their work under the leadership of the President, and the Secretary General shall be responsible to the Council. The Secretary General shall be a full-time representative and shall exercise the following powers:

1. Organize the formulation and implementation of annual work plans, budgets, and decisions; 2. Organize the implementation of the annual work plan of the association, and preside over the daily work of the association,; 3. Coordinate the work of various branches, representative offices, and physical institutions; 4. Nominate the Deputy Secretary General and the main responsible persons of each office, branch, representative office, and entity, and submit them to the Council or Executive Council for decision; 5. Nominate the appointment or dismissal of full-time staff of administrative agencies, representative agencies, and physical institutions, and report to the President's Office Meeting for approval; 6. Handle other daily affairs of the association.

Article 31: Supervisors shall exercise the following powers: 1. Attend meetings of the board of directors and executive board of directors as nonvoting delegates, and raise inquiries or suggestions on resolutions of the board of directors and executive board of directors; 2. Supervise the performance of the duties of the board of directors and executive directors of the association, and propose proposals for the removal of responsible persons, executive directors, and directors who violate laws and regulations, the association's articles of association, or the resolutions of the member assembly (or member representative assembly) in accordance with procedures; 3. Check the financial reports of the association, report the work of the supervisors to the general meeting (or representative meeting), and provide suggestions; 4. Promptly correct any actions of the responsible person, executive director, director, or financial personnel that harm the interests of the association; 5. Report any issues in the work of the association to the registration and management authorities, as well as relevant departments such as tax and accounting supervisors; 6. Decide on other matters that should be reviewed by the supervisor. Supervisors shall comply with relevant laws and regulations and the articles of association of this association, accept the leadership of the member assembly (or member representative assembly), and effectively perform their duties.

Article 32: The association may establish branches and representative offices according to work needs, and carry out work under the leadership of the association. Rules and procedures for branches and representative offices: 1. The Secretariat of this association shall propose specific plans for establishing branch offices and representative offices; 2. Submit the specific plan to the President's office meeting for discussion and approval; 3. Submit the approved specific plan to the council or executive council for review and approval. Chapter 5 Asset Management and Usage Principles

Article 33: Source of Funds for the Association: 1. Membership fees; 2. Donation; 3. Government funding and purchasing services; 4. Income from activities or services carried out within the approved business scope; 5. Interest; 6. Other legitimate income.


Article 34: The income and usage of this association shall be disclosed to the general assembly (or representative assembly) and shall be subject to supervision and inspection by the general assembly (or representative assembly).

Article 35: When accepting donations, the Association shall comply with laws and regulations and shall not distribute them in any form or in any disguised form. Donors, sponsors or units, members, and supervisors have the right to inquire about the use and management of donated assets from this association, and provide opinions and suggestions. For inquiries from donors, sponsors or units, members, and supervisors, the association shall promptly and truthfully respond. Donors and sponsors do not retain or enjoy any property rights to the property invested in this association.

Article 36: The funds of this association must be used for the business scope and development of the enterprise as stipulated in these articles of association. Property and other income shall be protected by law, and no unit or individual shall embezzle, privately divide or misappropriate them. Without the approval of the member assembly (member representative assembly), it is not allowed to borrow in the name of this association, lend public funds to external units, and provide economic guarantees to other units and individuals in the name of this association.

Article 37: If the president, executive vice president, vice president, executive director, director, supervisor, secretary general, or staff members of the association privately divide, occupy, or misappropriate the assets of the association, they shall be returned and reviewed at the general meeting of members; If a crime is constituted, criminal responsibility shall be pursued in accordance with the law.

Article 38: This association shall implement the "Accounting System for Non profit Private Organizations", conduct accounting in accordance with the law, establish and improve internal accounting supervision systems, and ensure the legality, authenticity, accuracy, and completeness of accounting materials. We accept tax and accounting supervision implemented by tax and accounting authorities in accordance with the law.

Article 39: This association shall be staffed with accounting personnel with professional qualifications. Accountants shall not concurrently serve as cashiers. Accounting personnel must conduct accounting and implement accounting supervision. When accounting personnel are transferred or resign, they must complete the handover procedures with the person in charge.

Article 40: The asset management of this association must comply with the financial management system stipulated by the state and be subject to supervision by the general assembly of members and the financial department. If the source of assets belongs to state funding or social donations or subsidies, it must be subject to supervision by audit institutions and the relevant information must be disclosed to the society in an appropriate manner.

Article 41: When the association conducts annual reports, changes in term, changes in legal representative, and liquidation, it shall conduct financial audits and submit the audit report to the registration and management authority.

Article 42: The association shall submit the previous year's work report to the registration and management authority in accordance with relevant regulations.

Article 43: The full-time staff of this association shall implement a full staff appointment system, open recruitment to the public, and sign labor contracts. Their salary, insurance, and welfare benefits shall be implemented in accordance with the market standards of the industry and relevant national regulations.

Chapter 6 Party Building Work

Article 44: In accordance with the provisions of the Party Constitution, if there are three or more formal Party members, a separate Party organization shall be established with the approval of the higher-level Party organization. If there are party members among the leaders of this association, the party member leader shall serve as the party organization secretary; If there are no party members among the leaders of this association, they should recommend party members with strong professional abilities and a good mass foundation to serve as the party organization secretary. If the number of formal party members is less than 3, a party organization shall be established through joint formation, affiliated formation, and other means to carry out party work in this association. If there are no formal party members, we support cooperating with higher-level organizations to carry out party work and create conditions for the establishment of party organizations.

Article 45: The person in charge of the party organization of this association shall participate in or attend the council meeting as a nonvoting delegate. The party organization provides opinions on important decision-making matters, important business activities, large budget expenditures, receiving large donations, and carrying out foreign-related activities of the association.

Article 46: In case of changes, mergers, or cancellations of this association, the party organization shall promptly report to the higher-level party organization and carry out relevant work such as transferring the relationship between party members and organizations.

Article 47: This association provides necessary venues, personnel, and financial support for Party organizations to carry out activities and do their work well. The membership fee of this association supports the party building work of the party branch, which is implemented at the standard of 100 yuan per year for each party member of the branch.

Article 48: This association supports the establishment of trade unions, Communist Youth League, and women's federations, and does a good job in connecting with the workers and the masses.

 

Chapter 7 Procedure for Amending the Articles of Association


Article 49: Any amendment to the articles of association of this association shall be approved by the board of directors and submitted to the general meeting for review.

Article 50: The revised articles of association of this association shall take effect within 30 days after being approved by the general meeting and submitted to the registration management authority for approval.

 

Chapter 8 Termination Procedure and Property Disposal after Termination


Article 51: In any of the following circumstances, the association shall be terminated and a motion for cancellation shall be proposed by the council or executive council: 1. Fulfilling the purpose stipulated in the articles of association; 2. The general meeting of members resolves to dissolve; 3. The company undergoes division or merger; 4. Unable to continue working in accordance with the purpose stipulated in the articles of association.

Article 52: The motion to terminate the association must be approved by a vote of the general meeting and submitted to the registration management authority for review and approval.

Article 53: Before the termination of this association, a liquidation organization must be established under the guidance of the registration management authority and relevant units to clear up debts and debts, and handle aftermath matters. During the liquidation period, no activities other than liquidation shall be carried out. The association shall handle the cancellation of registration procedures with the registration management authority within 15 days from the end of liquidation.

Article 54: This association shall terminate upon completion of the cancellation of registration procedures by the registration management authority.

Article 55: The remaining property after the termination of this association shall be used for public welfare or non-profit purposes or transferred to organizations with the same nature and purpose as this association under the supervision of the registration management authority and in accordance with relevant national regulations, and shall be announced to the society.

Chapter 9 Supplementary Provisions

Article 56: These Articles of Association have been passed through voting at the fifth general meeting of the first session.

Article 57: If the provisions of this Articles of Association are inconsistent with national laws, regulations, and policies, the national laws, regulations, and policies shall prevail.

Article 58: The power of interpretation of these Articles of Association belongs to the Council of the Association. Article 59: These articles of association shall come into effect from the date of approval by the registration management authority.
